1. Agreement to these terms
These Terms of Service (“Terms”) apply to all wholesale trading, distribution and related services supplied by Chengxin Holdings Pty Ltd (ABN 95 703 149 026) (“we”, “us” or “our”) to you (“you” or “your”). By engaging our services, placing an order, or accepting a quote from us, you agree to be bound by these Terms. If you do not agree with these Terms, please do not engage our services.

3. Our services
We provide wholesale trading and distribution services, which may include sourcing, procurement, freight coordination, warehousing arrangements, order fulfilment and supply chain support. The specific scope, deliverables, timelines and pricing for any engagement will be set out in the applicable quote, order confirmation or written agreement between us. In the event of any inconsistency between these Terms and a signed agreement, the signed agreement will prevail to the extent of the inconsistency.
4. Quotes and orders
- Quotes provided by us are valid for the period stated on the quote, or 30 days if no period is stated.
- All prices are indicative until an order is confirmed in writing by both parties.
- We may decline any order, in whole or in part, at our discretion, including where goods or capacity are unavailable.
- Changes to an order after confirmation may affect price and delivery timelines and will be confirmed in writing before proceeding.
5. Payment terms
Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date by the payment method stated on the invoice. We may charge interest on overdue amounts at a rate equal to the Reserve Bank of Australia cash rate plus 4% per annum, calculated daily. We may suspend or withhold further services or deliveries where undisputed amounts remain overdue. You must not set off any amounts owed to us against other claims without our prior written consent.
6. Goods and Services Tax (GST)
All prices quoted are in Australian dollars and are inclusive of GST unless expressly stated otherwise. Where GST applies, it will be shown separately on our invoices in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth).
7. Delivery, risk and title
Delivery dates are estimates only. Risk in goods passes to you upon delivery to the agreed delivery point or, where you arrange collection, upon handover to your carrier. Title in goods supplied remains with us until we have received payment in full for those goods. You must inspect deliveries promptly and notify us of any shortage, damage or discrepancy within 7 days of delivery.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable Australian legislation, including consumer guarantees that cannot lawfully be excluded. Where you acquire our services for the purposes of a business and represent that you are a small business under section 64A of the Australian Consumer Law, our liability for failure to comply with consumer guarantees is, where permitted, limited at our option to supplying the services again or paying the cost of having the services supplied again.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss or damage, loss of profits, loss of revenue, or loss of business opportunity arising from or in connection with our services. Where the law does not allow the exclusion of such liability, our total aggregate liability for any claim is limited to the amounts paid by you for the services giving rise to the claim in the 12 months preceding the claim. This clause does not apply to liability that cannot be excluded by law.
10. Your obligations
You agree to provide accurate and complete information necessary for us to perform the services, ensure that any premises or facilities you provide are safe and lawful, obtain any approvals or licences required for your intended use of goods supplied, and comply with all applicable laws relating to the resale, storage, transport or use of goods purchased from us.
11. Force majeure
We are not liable for any delay or failure to perform our obligations where the delay or failure is caused by events beyond our reasonable control, including natural disasters, industrial action, shortages of transport or labour, epidemics, government restrictions or failures of third-party suppliers. Where such an event continues for more than 60 days, either party may terminate the affected order without liability, except for amounts already owing.
12. Confidentiality and privacy
Each party will keep confidential all non-public information received from the other party in connection with an engagement and will not disclose it except as required to perform the services or by law. Our handling of personal information is set out in our Privacy Policy, which forms part of these Terms.
13. Intellectual property
All content on this website, including text, graphics and layout, is owned by or licensed to Chengxin Holdings Pty Ltd and may not be reproduced or reused without our prior written consent, except as permitted by law. Any intellectual property created specifically for you under an engagement will be dealt with in the applicable agreement.
14. Suspension and termination
Either party may terminate an engagement on 14 days’ written notice, or immediately where the other party commits a material breach that is not remedied within 14 days of written notice, becomes insolvent, or engages in conduct that reasonably brings the other party into disrepute. On termination, you remain liable for all amounts owing for services performed and orders placed up to the date of termination.
15. Amendments
We may update these Terms from time to time by publishing a revised version on this page. The version in force at the time you confirm an order or accept a quote will apply to that engagement. Continued use of our services after publication of changes constitutes acceptance of the updated Terms.
